10:05:00 Bylaws Chattanooga State Community College Alumni Association
Article I: Name
- The name of this organization shall be the Chattanooga State Community College Alumni Association.
Article II: Purpose
- The purpose of the Alumni Association is to support the alumni and advance the mission and goals of Chattanooga State Community College.
Article III: Membership
- Persons qualifying for a membership of the Alumni Association are any individual who is a former student of Chattanooga State Community College or Chattanooga State’s Tennessee College of Applied Technology.
Article IV: Board of Directors
- Members: The Chattanooga State Community College Alumni Association shall be governed by the Board of Directors which shall be composed of up to 18 members.
- Member Terms: Each Director shall be elected by the Board of Directors to serve a three (3) year term and may serve no more than two (2) consecutive three-year terms. Any Director serving two consecutive three-year terms shall not be eligible for re-election for at least one year after completion of the second three-year term, unless elected as an Officer.
- Officers: The Board shall have at least a President and a Vice President/President-Elect. The President shall preside over all meetings, represent the Board when necessary, and provide leadership to the board and its alumni association. In the absence of the President, the Vice President/President -Elect shall preside over meetings. The Board may have additional officers as needed.
- Officer Terms: Officers shall be elected to serve a two (2) year term and may serve no more than two (2) consecutive two-year terms.
- After serving as president of the board, the individual transitions into the role of immediate past president for up to three years.
Article V: Meetings
- The Board should hold quarterly meetings to conduct its business. These meetings shall be open to all members, those eligible for membership, and any College official.
- Special meetings may be called by the President of the Association.
- A quorum for Board meetings shall consist of those present in person or virtual at any announced meeting. The exception to the quorum is meeting minutes may be approved by the majority of those attending the meeting.
- Any action required or permitted to be taken at any meeting of the Board may be taken without a meeting at the approval of the President. Written consent shall be treated for all purposes as a vote at a meeting. This written consent may include voting by e-mail or other such electronic means of communication.
Article VI: Committees
- Committees may be established by the President when deemed necessary for the on-going or temporary activities of the Association. The President shall appoint committee chairs.
Article VII: Amendments to Bylaws
- These Bylaws may be amended by a majority vote of the Board of Directors, which is determined to be more than half of the Board membership and effective immediately.
Article VIII: Dissolution
- In the event of dissolution of this Alumni Association, any assets available for distribution shall be distributed to the Chattanooga State Community College Foundation.
